These Terms of Use (“Terms”) govern your access to and use of the website located at kloudrealty.com, together with any related applications, tools, and services (collectively, the “Site”), operated by Kloud Realty, Inc. (“Kloud Realty,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you should not access or use the Site.

Certain areas of the Site, including our agent CRM tools, require an account. Accounts are intended for licensed real estate agents and administrators affiliated with Kloud Realty. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.
• Attempt to gain unauthorized access to any portion of the Site, other accounts, or connected systems.
• Scrape, harvest, or otherwise collect data from the Site using automated means without our prior written consent.
• Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Property listings, pricing, availability, agent profiles, and related details displayed on the Site are provided for general informational purposes and are subject to change without notice. We make reasonable efforts to keep listing information current and accurate but do not guarantee its accuracy, completeness, or timeliness. You should independently verify any information material to a real estate transaction, including price, square footage, taxes, and availability, before relying on it.

The Site and its original content, features, design elements, graphics, and functionality are and will remain the exclusive property of Kloud Realty, Inc. and its licensors. The Kloud Realty name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Kloud Realty, Inc. You may not use these marks without our prior written permission. Nothing in these Terms grants you a license to use any Kloud Realty trademark, logo, or content except as expressly permitted here.

The Site may contain links to third-party websites or services, including sign-in through Google, that are not owned or controlled by Kloud Realty. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we are not responsible or liable for any damage or loss caused by your use of any such third-party content, goods, or services.

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. KLOUD REALTY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, KLOUD REALTY, INC. AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify, defend, and hold harmless Kloud Realty, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Texas.

Kloud Realty offers an optional SMS text-messaging program for account-related, transactional notifications, such as rent-due reminders, payment confirmations, and failed-payment notices. This is not a marketing program. By enrolling, you agree to the following:

• Enrollment and consent. You are enrolled only if you provide your mobile number and check the SMS consent box in your account settings. You consent to receive recurring automated text messages from Kloud Realty at the number provided. Consent is not a condition of purchasing or using any Kloud Realty product or service.
• Message frequency. Message frequency varies and depends on your account activity (for example, when rent is due or a payment fails).
• Cost. Message and data rates may apply, according to your mobile carrier plan. Kloud Realty does not charge for the messages themselves.
• Opt-out. You can cancel at any time by replying STOP to any message. After you send STOP, we will send a final confirmation and will not send further messages unless you re-enroll. Reply HELP for help.
• Carriers. Mobile carriers are not liable for delayed or undelivered messages. Supported carriers may change without notice.
• Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties. Your mobile information is otherwise handled as described in our Privacy Policy. Questions? We may revise these Terms from time to time. The most current version will always be posted on this page with an updated “Last updated” date. By continuing to access or use the Site after revisions become effective, you agree to be bound by the revised Terms.
